1. Definitions

"Agreement" refers to these Terms and Conditions and any other documents incorporated by reference. "Threshold Advisory," "we," "our," or "us" refers to Threshold Advisory, a business consulting firm operating in Hong Kong. "Client," "you," or "your" refers to any individual or entity that engages our services or accesses our website. "Services" refers to the business consulting services we provide, including transition management advisory, exit planning consultation, and onboarding program design.

2. Acceptance of Terms

By accessing our website or engaging our services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, you should not use our website or services.

You represent that you are at least 18 years of age and have the legal capacity to enter into this Agreement. If you are acting on behalf of an organization, you represent that you have the authority to bind that organization to these terms.

3. Description of Services

Threshold Advisory provides professional business consulting services specializing in organizational transitions. Our services include:

Transition Management Advisory: Supporting organizations through leadership changes, ownership transfers, and strategic direction shifts. Exit Planning Consultation: Helping business owners prepare for and navigate transition from their businesses. Onboarding Program Design: Creating structured integration frameworks for new team members and leaders.

The specific scope, deliverables, timeline, and fees for any engagement will be outlined in a separate service agreement or proposal.

4. Service Engagement

Engagement of our services requires a written agreement or accepted proposal that specifies the scope of work, fees, payment terms, and timeline. Initial consultations may be provided to assess your needs and determine how we may assist. We reserve the right to decline any engagement at our discretion.

5. Client Responsibilities

To enable us to deliver our services effectively, you agree to: provide accurate and complete information relevant to the engagement; make decisions and provide approvals in a timely manner; designate appropriate personnel to work with our team; maintain confidentiality of any proprietary methodologies or materials we share; pay all fees as agreed in the service agreement.

6. Fees and Payment

Fees for our services are quoted in Hong Kong Dollars (HKD) unless otherwise specified. Payment terms will be outlined in the applicable service agreement. Standard terms require a deposit upon engagement commencement with the balance due upon completion or according to agreed milestones.

Late payments may incur interest at a rate of 1.5% per month or the maximum rate permitted by Hong Kong law, whichever is lower. We reserve the right to suspend services if payments are significantly overdue.

7. Intellectual Property

All intellectual property, including methodologies, frameworks, templates, and materials developed by Threshold Advisory, remains our exclusive property. Clients receive a limited, non-exclusive license to use deliverables created specifically for their engagement for internal business purposes only.

You may not reproduce, distribute, modify, or create derivative works from our proprietary materials without our prior written consent.

8. Confidentiality

Both parties agree to maintain the confidentiality of proprietary and sensitive information disclosed during the engagement. This includes business strategies, financial information, trade secrets, and any information designated as confidential. These obligations survive the termination of any engagement.

9. Disclaimer of Warranties

Our services are provided on an "as is" and "as available" basis. While we strive to deliver high-quality consulting services, we make no warranties, express or implied, regarding the results or outcomes of our services. Business consulting involves inherent uncertainties, and actual results depend on many factors beyond our control.

10. Limitation of Liability

To the fullest extent permitted by Hong Kong law, Threshold Advisory shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to our services, regardless of whether such damages were foreseeable.

Our total liability for any claim arising from an engagement shall not exceed the fees paid by you for the specific services giving rise to the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless Threshold Advisory and its directors, officers, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from: your breach of these Terms; your use of our services; your violation of any rights of a third party; or any information or materials you provide to us.

12. Termination

Either party may terminate an engagement by providing written notice as specified in the applicable service agreement. Upon termination, you remain responsible for payment of fees for services rendered through the termination date. Provisions relating to intellectual property, confidentiality, limitation of liability, and indemnification survive termination.

13. Governing Law and Jurisdiction

These Terms and Conditions shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region. Any disputes arising from or relating to these terms or our services shall be subject to the exclusive jurisdiction of the courts of Hong Kong.

14. Dispute Resolution

Before initiating any formal proceedings, both parties agree to attempt to resolve disputes through good faith negotiation. If negotiation is unsuccessful, either party may pursue mediation before a mutually agreed mediator in Hong Kong.

15. General Provisions

Entire Agreement: These Terms, together with any service agreement, constitute the entire agreement between you and Threshold Advisory. Severability: If any provision is found unenforceable, the remaining provisions continue in effect. Waiver: Failure to enforce any right does not constitute a waiver of that right. Assignment: You may not assign your rights under these Terms without our written consent. Notices: Notices should be sent to the contact information provided below.

16. Changes to Terms

We reserve the right to modify these Terms at any time. Changes become effective upon posting to our website. For existing clients under active engagements, material changes will be communicated directly. Continued use of our services after changes constitutes acceptance of the modified terms.
